Terms of Service

These terms govern your access to and use of EvidSeek and its related services.

Agreement to these terms

These Terms of Service govern your access to and use of EvidSeek, including any software, features, content, and related services we make available (collectively, the "Service"). The Service may change over time. By accessing or using the Service, you agree to these terms.

You must be at least 16 years old and legally capable of entering into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree to these terms, do not use the Service.

Accounts

You may need an account to use some parts of the Service. You must provide accurate information, keep your account and access credentials secure, and promptly notify us if you suspect unauthorized access. To the extent permitted by law, you are responsible for activity carried out through your account.

You may not transfer your account or allow others to use it in a way that violates these terms. We may require you to verify account information or take reasonable steps to protect the account or the Service.

Use of the Service

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, and revocable right to use the Service for your personal or internal business purposes.

You must use the Service lawfully and only with content and data that you are authorized to access and process. You may not:

  • violate the rights of others or any applicable law;
  • bypass access controls, usage limits, or security measures;
  • interfere with, disrupt, or place an unreasonable burden on the Service;
  • introduce malicious code or attempt to gain unauthorized access to the Service or related systems;
  • copy, resell, reverse engineer, or exploit the Service except where permitted by law or with our written permission; or
  • use the Service to create or distribute unlawful, harmful, deceptive, or abusive content.

We may investigate suspected misuse and take reasonable measures to protect the Service, our users, and third parties.

Submitted materials

The Service processes content and data that you choose to submit or make available for analysis ("Submitted Materials"). Submitted Materials may include content owned by you or by third parties.

You authorize us and those acting on our behalf to access, transmit, reproduce, analyze, and otherwise process Submitted Materials as reasonably needed to provide, operate, secure, and support the Service, enforce these terms, and comply with law. This authorization applies only to the extent of the rights and permissions you have and does not transfer ownership of Submitted Materials.

You are responsible for ensuring that you may lawfully access and submit Submitted Materials for processing and for complying with applicable law and third-party terms. Do not submit confidential, sensitive, or regulated information unless you are authorized to do so and the Service is appropriate for that use.

We have no obligation to review, store, or retain Submitted Materials. We may restrict or remove Submitted Materials when we reasonably believe they violate these terms, create risk, or must be restricted by law.

Results and your responsibilities

The Service may generate analyses, summaries, suggestions, or other results ("Results"). Results are provided for informational purposes and may be incomplete, inaccurate, outdated, non-exclusive, or unsuitable for your circumstances. Similar or identical Results may be generated for other users.

You are responsible for reviewing Results and any relevant source material before relying on, using, or sharing them. You assume the risk of decisions or actions based on Results. The Service does not provide legal, financial, medical, or other professional advice, and Results should not be used as a substitute for qualified professional judgment.

These terms do not grant you rights in third-party content or source material. You are responsible for determining whether your use of Results and related materials is lawful and appropriate.

Paid services

Some features may be offered for a fee. A purchase may be subject to additional terms presented with the relevant offer or transaction. Offers, prices, features, usage entitlements, and billing arrangements may vary, may be withdrawn, and may change over time.

By completing a purchase, you authorize the applicable charges, including any taxes or fees identified in connection with the transaction. Payment processing may be handled by third parties and may be subject to their terms.

Where an offer provides for recurring charges, those charges continue until canceled in accordance with the cancellation method then available for that offer. Cancellations, refunds, expiration, and unused entitlements are handled according to the applicable offer terms and applicable law. Except where required by law or expressly stated otherwise, payments are final and non-refundable.

We may change or discontinue paid offerings and may correct pricing, description, or transaction errors to the extent allowed by the applicable offer terms and applicable law. Failure to pay amounts due may result in restriction or suspension of paid features.

Our materials

The Service and all software, interfaces, branding, documentation, and other materials we provide are owned by us or our licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Service under these terms, no rights in those materials are transferred to you.

If you choose to provide feedback, you grant us the right to use it without restriction, attribution, or compensation. Do not provide feedback that you consider confidential.

Third-party services and content

The Service may interact with, link to, or rely on services, content, or systems provided by third parties. Your use of third-party services may be subject to separate terms and policies. We do not control or endorse third-party services or content and, to the extent permitted by law, are not responsible for their availability, security, content, or actions. We may change or discontinue third-party integrations at any time.

Availability and changes to the Service

Subject to applicable offer terms and applicable law, we may add, change, restrict, suspend, or discontinue any part of the Service. To the extent permitted by law, we have no obligation to maintain any particular feature, functionality, integration, content, or level of availability.

We do not guarantee that the Service will be uninterrupted, secure, error-free, compatible with every system, or that Submitted Materials or Results will always be retained or recoverable. You are responsible for keeping copies of materials you need.

Suspension and termination

You may stop using the Service at any time. We may restrict, suspend, or terminate access, with or without notice where permitted by law, if we reasonably believe it is necessary to protect the Service or others, address suspected misuse, enforce these terms, respond to non-payment, comply with law or a third-party request, or discontinue the Service.

Upon termination, your right to use the Service ends. Termination does not relieve you of payment obligations already incurred and does not itself create a right to a refund. Provisions that by their nature should survive termination, including provisions concerning ownership, payment obligations, disclaimers, indemnity, and liability, will remain in effect.

Disclaimers

To the maximum extent permitted by law and except for any express terms that apply to a particular purchase, the Service is provided on an "as is" and "as available" basis. We disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.

We do not warrant that the Service will meet your requirements or expectations, or that any information or Results will be complete, accurate, reliable, current, or suitable for any particular purpose or decision. Your use of the Service is at your own risk.

Limitation of liability

To the maximum extent permitted by law, we and our affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to the Service, even if advised that such loss is possible.

To the maximum extent permitted by law, our total aggregate liability for all claims arising from or related to the Service or these terms will not exceed US$10.

These limitations apply regardless of the form or legal basis of the claim. If applicable law does not allow a limitation described above, the limitation applies only to the greatest extent permitted by law.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

Indemnity for organizational use

If you use the Service on behalf of an organization, that organization will, to the extent permitted by law, indemnify and hold us and our affiliates, personnel, and service providers harmless from third-party claims, losses, liabilities, and reasonable legal costs arising from its Submitted Materials, its use of the Service, or its breach of these terms or applicable law.

Events outside our control

To the extent permitted by law, we are not responsible for delay, interruption, or failure caused by events beyond our reasonable control, including failures of third-party services, networks, infrastructure, or suppliers.

General terms

These terms and any applicable offer-specific terms constitute the agreement between you and us regarding the Service. If an offer-specific term conflicts with these terms, the offer-specific term controls only for that offer.

You may not assign or transfer your rights or obligations under these terms without our consent. We may assign these terms in connection with a merger, reorganization, sale of assets, change of control, or by operation of law.

If any provision is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to do so later. These terms do not create any partnership, agency, employment, or joint venture relationship.

Changes to these terms

We may update these terms from time to time. Updated terms take effect when posted or on any later date stated with them, subject to applicable law. We will provide notice only where required by law. Your continued use of the Service after updated terms take effect constitutes acceptance to the extent permitted by law. If you do not agree to an update, you must stop using the Service.
